1. 1. About Marketplace Hubs and Our Services

   Marketplace Hubs Insurance Agency LLC is a licensed insurance agency that also operates as a lead generator. We help consumers and small businesses compare and enroll in health, dental, vision, supplemental, short-term, and life insurance products offered by third-party carriers, and we share submissions with our marketing partners, including licensed insurance carriers, agencies, and other authorized buyers, who pay us a fee for matching your inquiry with them. We do not charge you a fee for our services.

   Submitting an inquiry through our website is not an application for insurance and is not a purchase of any product or service. Coverage, pricing, eligibility, and benefits are determined solely by the issuing carrier and are subject to applicable state and federal law.

2. 2. Consent to Be Contacted

   You hereby consent to be contacted by Marketplace Hubs and by the marketing partners that respond to your inquiry or request for information by phone (including cell phone), mail, fax, email, SMS, or other electronic means at the addresses, phone number(s), and email address(es) you provided or that we have collected from your inquiry, even if you are listed on a federal or state Do Not Call registry. Contact may include autodialed calls, prerecorded or artificial voice messages, and text messages. Consent is not a condition of purchase. Message and data rates may apply.

3. 3. No Endorsement; Carrier Relationships

   We do not endorse or recommend the products or services of any particular third party. The marketing partners determine what products and services you may qualify for and the terms of any arrangement between you and them, and they make all decisions relating to their products and services. There is no guarantee that, by submitting your information, you will be contacted by one or more marketing partners regarding the subject of your inquiry. When you submit information to a third party who has responded to your inquiry, that information will be subject to that third party's privacy policies and other applicable terms.

4. 4. Not a Government Site; Medicare Disclaimer

   Marketplace Hubs is not affiliated with or endorsed by the U.S. government, the federal Medicare program, the Centers for Medicare and Medicaid Services, the Affordable Care Act marketplace, or any state agency. This website is a solicitation for insurance. Marketplace Hubs does not market Medicare Advantage Plans or Medicare Part D prescription drug plans through this website and prohibits its marketing partners from using consumer information submitted on this site for the marketing or sale of Medicare Advantage or Medicare Part D plans.

5. 5. Your Representations

   You represent and warrant that any information you provide is truthful, accurate, and pertains to you, that you are the subscriber for any telephone number or email address you provide, and that you are a United States resident at least 18 years of age. If your phone number, email, or other information changes, you must notify us immediately at privacy@marketplacehubs.com. Your breach of these representations subjects you to the indemnification provisions below.

   You will defend, indemnify, and hold us, our marketing partners, and our respective affiliates, vendors, service providers, officers, directors, owners, employees, contractors, and agents harmless from and against any and all claims, governmental investigations, demands, actions, and proceedings, real or threatened, and all losses, judgments, awards, settlements, damages, fines, injuries, penalties, and costs (including reasonable attorneys' fees and expenses) arising out of or related to (i) any breach or alleged breach of these Terms by you; (ii) your violation of any applicable law or regulation; (iii) your negligence or willful misconduct; or (iv) your use of this website or our services.

   YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, BENEFITS HUB AND ITS AFFILIATES, MEMBERS, OFFICERS, AND DIRECTORS ARE NOT LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR OTHER INJURY YOU MAY CLAIM ARISING OUT OF OR CONNECTED WITH THIS WEBSITE AND/OR OUR SERVICES OR FOR ANY INFORMATION, PRODUCTS, AND SERVICES OFFERED BY MARKETING PARTNERS TO YOU, OR OTHERWISE ARISING OUT OF THE USE OF THE WEBSITE, WHETHER RESULTING IN WHOLE OR IN PART FROM BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES.

   TO THE EXTENT THAT THESE LIMITATIONS ARE BY LAW NOT ENFORCEABLE, WE BOTH AGREE THAT BENEFITS HUB AND ITS AFFILIATES, MEMBERS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE TO YOU IN THE AGGREGATE FOR DAMAGES OF ANY TYPE IN CONNECTION WITH MATTERS RELATING TO THE WEBSITE, OUR SERVICES, OR INFORMATION, PRODUCTS, AND SERVICES OF MARKETING PARTNERS IN EXCESS OF US$100 (ONE HUNDRED DOLLARS).

8. 8. Modification and Termination

   We may modify or terminate this website, our services, or the online forms at any time in our sole discretion. We may modify these Terms at any time and will post revised or updated Terms on this website. The revised Terms will apply to any use of this website or submission of an online form or request after the date the new Terms are posted. Your continued use of the website or submission of online forms after such modifications means you agree to the new Terms.

9. 9. Severability and Entire Agreement

   All waivers of any part of these Terms must be in writing and signed. Any delay, waiver, or failure to exercise any right or power arising from a breach of these Terms shall not be construed to be a waiver of any subsequent breach. These Terms represent the entire, complete, and final agreement between you and us regarding our services and this website.

10. 10. Governing Law

    These Terms are governed by the laws of the State of Florida, excluding its conflict-of-laws principles. If any part of this agreement is determined to be invalid or unenforceable, including the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed replaced by a valid enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms shall continue in effect.

11. 11. Consent to Arbitrate

    Except where prohibited by law, all claims, disputes, or controversies between you and either Marketplace Hubs or a marketing partner arising out of or relating to the use of this website, the services provided by Marketplace Hubs, any consents you have provided to us, any communication to you resulting from your use of this website, or any acts or omissions for which you may contend Benefits Hub or its affiliates, members, officers, marketing partners, or directors are liable, shall be finally and exclusively settled by binding arbitration. The arbitration will be governed by the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer Related Disputes (collectively, the "AAA Rules") of the American Arbitration Association ("AAA") and will be administered by the AAA.

    The arbitration will take place in Miami-Dade County, Florida, but may proceed telephonically if the total amount of the claim does not exceed US$2,500 (if the claimant so chooses). The arbitrator shall be selected pursuant to the AAA Rules, or otherwise as mutually agreeable to both parties. Should the AAA decline to accept a matter submitted for individual (non-class) arbitration, the arbitration shall be administered and conducted by a widely-recognized arbitration organization that is mutually agreeable to the parties. To begin the arbitration process, a party must make a written demand by registered or certified mail.

    A judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The agreement to arbitrate is not an agreement to the joinder or consolidation of arbitration under this agreement with an arbitration of disputes or claims of any non-party, regardless of the nature of the issues or disputes involved. To the fullest extent permitted by applicable law, no arbitration under these Terms shall be joined to an arbitration involving any other party subject to these Terms, whether through class arbitration proceedings or otherwise.

    You are entitled to a fair hearing, and the arbitration procedures are simpler and more limited than rules applicable in court. Arbitrator decisions are enforceable as any court order and are subject to very limited review by a court. By using our website or services and submitting online requests or forms, you consent to these restrictions.

    In fulfilling a request to contact a consumer through our website, marketing partners are third-party beneficiaries of these Terms as they relate to your representations and warranties and the arbitration provision.
